Exclusive negotiations are now underway between Warner Bros Discovery and the streaming behemoth for a potential sale of its core studio and streaming operations, a development that could profoundly reshape the entertainment industry landscape.
A High-Stakes Competition
The leading streamer is said to be competing against other major players like Paramount Skydance and Comcast, the owner of significant media properties, for control of the legendary Hollywood institution, the prestigious HBO network, and the HBO Max streaming platform.
Sources indicate Netflix has proposed a hefty termination penalty of $5 billion should the deal fail to secure necessary regulatory approval in the US.
The Offer Details
As the company's stock currently trading at approximately $24, its overall market cap stands at around $60 billion. Reports suggest the bid on the table ranges from $28 to $30 per share, implying a total bid value in the neighborhood of $70 billion to $75 billion.
Industry experts have cautioned that such a merger could trigger major antitrust concerns, as it would combine two of the most dominant subscription platforms in the American market.
Commitments and Strategic Moves
As part of its bid, the streamer has provided assurances that the Warner Bros film studio, home to major franchises like Batman and Harry Potter, would continue to enjoy wide theatrical releases.
Before a final agreement, the company is expected to complete a pre-arranged separation of its linear TV networks, such as TNT, TBS, and CNN.
A Content Powerhouse
A successful acquisition, Netflix would become the owner of HBO, the maker of critically acclaimed hits including Succession, The White Lotus, The Sopranos, and Game of Thrones, plus an extensive archive of classic television.
The studio officially began its sale process in October following interest from multiple suitors.
Industry Concerns
The potential sale has not been without controversy. Esteemed director James Cameron, known for the Avatar and Terminator franchises, recently warned that a Netflix acquisition could lead to a "catastrophic loss of enduring worth" for the creative sector.
At first, Paramount had been considered the leading candidate. It had similarly proposed a $5 billion termination fee if regulatory hurdles.
Allegations of an Uneven Playing Field
Recently, the rival bidder contended formally that its bid was the most likely to secure regulatory clearance. Additionally, the company accused Warner Bros of conducting an "unfair auction process" that unduly benefited Netflix, calling it "compromised" in official documents.
Officials from Warner Bros, Netflix, Comcast, and Paramount refused to comment on the ongoing negotiations.
